A couple of weeks while in Puerto Vallarta consulting with a dozen small to midsize companies at a CEO’s/Presidents/Owners retreat, to my horror and surprise it was discovered that not a single one of them, in the past five years, has held a valid Board of Directors meeting. Because they are not holding lawful board meetings, they are not complying with the articles of incorporation and by-laws that govern their corporations. Here are some questions that will help you better determine if you are compliant with normal Board of Directors requirements:
•Do you have a legitimate Board?
•How do you use them to help strengthen and benefit the ultimate success of the company?
•Do you have Board meetings, per your articles of incorporation and bi-laws?
•What do your bi-laws and articles of incorporation require as a minimum in terms of Board of Director meetings?
•Are the Board meetings held often enough to be of benefit? You are a FOOL if you put yourself at risk by not organizing a legitimate Board of Directors and holding the appropriate meeting.
